Master Lease & Fleet Agreement

TBIGS LLC • WICHITA FALLS, TEXAS • ELECTRONIC CONTRACT RECORD

This Agreement governs the temporary use of a TBIGS LLC vehicle by the Renter identified in the booking and checkout process. By continuing, the Renter confirms that all information submitted is true, agrees to transact electronically, and understands that breach of this Agreement may result in additional charges, termination, recovery action, or other remedies allowed by contract and applicable Texas law.
1. Vehicle Details & Rental Term

The assigned vehicle, rental dates, return deadline, and pricing are the terms reflected in the Renter’s booking confirmation and digital receipt. The rental remains valid only for the paid rental period. Possession or continued use of the vehicle after expiration of the paid term without approved renewal is unauthorized.

TBIGS Responsibility To identify the vehicle being provided, document the rental term, and release the vehicle in operable condition, subject to availability and lawful use.
Renter Responsibility To return the vehicle on time or obtain a written/digital renewal before the paid period expires.
Texas Law Note: Texas Penal Code §31.04 treats certain failures to return rented property or failure to pay for agreed services as theft of service, which is why the return time and paid term should be clearly documented.
2. Age, License & Eligibility

The Renter must be at least 18 years old and must possess a valid, unexpired driver’s license legally authorizing operation of the rented vehicle. Any false identity, false age statement, suspended license, or materially false eligibility statement is a material breach of this Agreement.

TBIGS Responsibility To verify identity and license information before releasing the vehicle.
Renter Responsibility To keep the license valid during the rental and present it when lawfully required.
Texas Law Note: Texas Transportation Code §521.021 requires a person operating a motor vehicle to hold the required license, and §521.025 requires the driver to carry and exhibit the license on demand.
3. Payment Terms & Security Deposit

Rental charges, extensions, deposits, and any approved fees are set at checkout or in the booking confirmation. For GIG or weekly rentals, TBIGS may require advance payment before key release. Accepted payment methods may include digital transfer, card, cash, or other methods approved by TBIGS. Security deposits may be applied to unpaid rent, tolls, tickets, cleaning charges, refueling charges, missing accessories, or damage amounts permitted by this Agreement and applicable law. Any remaining refundable balance is returned after final inspection and charge reconciliation.

TBIGS Responsibility To account for authorized deductions in good faith and return any undisputed refundable balance after inspection.
Renter Responsibility To make timely payments and maintain a valid payment method if required for extensions or outstanding balances.
Texas Law Note: This clause is primarily contractual. Texas law generally enforces agreed payment and deposit terms unless they conflict with non-waivable law or public policy.
4. Mileage Limitation & Overage Charges

Standard rentals include a 500-mile weekly allowance unless otherwise stated in writing. Excess mileage may be billed at the agreed overage rate. GIG or weekly programs may include unlimited mileage only if expressly stated in the booking. A renewal starts a new mileage period only after the renewal is approved and paid.

Texas Law Note: Mileage limits and overage rates are contract terms rather than a Texas statutory default. They should be stated clearly so the charge is tied to the renter’s informed agreement.
5. Permitted Travel Area

Unless TBIGS gives prior written approval, the vehicle is intended for operation within Texas. Any approved exception must be documented by TBIGS before travel. Unauthorized out-of-area travel may be treated as a material breach and may result in recovery action, towing, disablement where lawfully disclosed and safely executed, or termination of the rental.

The vehicle may use GPS or telematics for fleet protection, recovery, mileage verification, maintenance monitoring, and contract enforcement. By signing, the Renter consents to that limited operational use.
Texas Law Note: Geographic restrictions are chiefly contractual, but they matter because Texas insurance, recovery logistics, and law-enforcement reporting obligations can change when a vehicle is taken outside the agreed area.
6. Insurance & Financial Responsibility

The Renter must maintain whatever insurance or financial responsibility is required by law and by the rental program. If the rental is used for rideshare, delivery, or other GIG activity, the Renter is responsible for obtaining any platform, commercial, or supplemental coverage required for that use. Any optional TBIGS coverage arrangement must be separately disclosed in writing.

Texas Law Note: Texas Transportation Code §601.051 requires financial responsibility for motor vehicles, and §601.072 sets the minimum liability limits commonly described as 30/60/25.
7. Authorized Drivers, Permissive Use & Traffic Stops

Only the approved Renter and any separately approved additional driver may operate the vehicle. The Renter must not allow any unauthorized person to drive, possess, tow, move, or control the vehicle. During traffic stops or official encounters, the driver must provide truthful identification and present license, registration, and insurance information when lawfully required.

TBIGS Responsibility To provide registration and insurance information required to be kept with the vehicle or otherwise made available.
Renter Responsibility To ensure that only approved drivers use the vehicle and that all communications with law enforcement are truthful.
Texas Law Note: Texas license-display requirements apply to the driver, and unauthorized-driver restrictions also help reduce negligent-entrustment risk if an owner knowingly allows an unqualified or unlicensed person to drive.
8. Vehicle Use Restrictions

The vehicle may be used only for lawful transportation. The following are prohibited unless TBIGS expressly approves them in writing: racing, stunt driving, off-road use, towing, pushing another vehicle, hauling hazardous materials, subleasing, use by an intoxicated or impaired person, use during commission of a crime, or any use contrary to the vehicle’s intended purpose.

Texas Law Note: This is primarily a contract-risk clause. It supports enforcement, insurance position, and damage allocation when the vehicle is used outside ordinary permitted operation.
9. Fuel Policy

The vehicle must be returned with the same fuel level documented at checkout unless a prepaid fuel arrangement is separately stated. If the fuel level is lower at return, TBIGS may charge the agreed refueling fee plus the cost of missing fuel if stated in the booking.

Texas Law Note: Fuel-return requirements are contractual. The strongest version is one that clearly states the starting fuel level, the expected return level, and the exact fee formula.
10. Cleanliness, Smoking & Pet Condition

The vehicle must be returned in reasonably clean condition. Smoking, vaping, excessive dirt, odors, pet hair, stains, or biohazard conditions may trigger the cleaning fee disclosed by TBIGS. Excessive contamination beyond normal use may result in additional reasonable remediation charges.

Texas Law Note: This is contractual, but the fee should be tied to disclosed standards and actual remediation needs to reduce disputes over deducting from the deposit.
11. Maintenance, Repairs & Key Fobs

TBIGS remains responsible for routine scheduled maintenance unless damage or unusual wear was caused by misuse or prohibited use. The Renter must promptly report warning lights, mechanical symptoms, tire damage, accidents, theft, or unsafe conditions. Lost or damaged keys, fobs, registration packets, toll tags, chargers, or accessories may be charged to the Renter.

TBIGS Responsibility To provide a reasonably roadworthy vehicle at handoff, subject to ordinary wear.
Renter Responsibility To stop unsafe operation and report mechanical concerns immediately.
Texas Law Note: This clause is mostly contractual, but it also helps show who bears responsibility for routine fleet upkeep versus damage caused during the renter’s possession.
12. Accidents, Damage & Loss

The Renter must immediately notify TBIGS of any collision, theft, vandalism, impound, flood, fire, or other damage event. The Renter is responsible for contractually assigned loss amounts, deductibles, misuse-related damage, towing, impound, loss of keys, and other charges allowed by this Agreement, subject to applicable insurance, comparative fault, and non-waivable law.

Do not leave the scene of a reportable accident. Follow all legal duties to stop, exchange information, and render aid when required.
Texas Law Note: Texas Transportation Code §550.023 requires drivers involved in certain collisions to give identifying information and render aid, and §550.024 covers damage to unattended vehicles.
13. Late Returns & Unauthorized Possession

Returns more than the grace period stated by TBIGS, if any, without prior written approval may be treated as late return or unauthorized possession. TBIGS may charge additional rental time, recovery costs, towing, and other agreed amounts and may terminate the rental for non-return.

Texas Law Note: This clause pairs with Texas Penal Code §31.04 because clearly defined return deadlines help support the distinction between a late return dispute and wrongful retention of rented property or services.
14. Vehicle Inspection Condition Reports

Pre-rental and post-rental inspection records, photos, videos, dashboard mileage, telematics data, and written check-in/check-out reports may be used to document condition, fuel, mileage, cleanliness, accessories, and any new damage. The Renter should review and dispute any visible pre-existing condition before taking possession.

Texas Law Note: This is evidentiary and contractual rather than statutory. It is important because it helps prove what condition existed at handoff and at return.
15. Cancellation & No-Show Policy

Cancellation deadlines, no-show treatment, and refundability are governed by the booking terms disclosed before payment. Renters are liable to pay one day of rental if they booked and cancel within 24 hours. TBIGS may cancel or refuse release of a vehicle for payment failure, inability to verify identity, safety concerns, lack of required insurance, suspected fraud, or violation of these terms.

Upon digital booking, the selected vehicle is immediately removed from the market and becomes unavailable to other potential Renters. Because this represents a specific loss of income for TBIGS LLC:24-Hour Commitment Rule: If the Renter cancels the booking within 24 hours of the scheduled start time, the Renter is liable for one (1) full day of rental fees as liquidated damages for the vehicle's off-market status.

Texas Law Note: This is primarily contractual. It should match the terms shown at checkout so the refund position is tied to documented consent.
16. Deductible & Charge Authorization

If the booking or program discloses a deductible, incident fee, or loss-responsibility cap, the Renter agrees that the amount may become due after an incident, subject to the applicable insurance arrangement and documented damage or claim circumstances. The Renter authorizes TBIGS to charge approved payment methods for amounts validly due under this Agreement.

Texas Law Note: This is contractual, but clarity matters. The deductible amount, triggering events, and payment authorization should all be clearly disclosed.
17. Termination, Recovery & Repossession

TBIGS may terminate the rental for non-payment, fraud, unauthorized driver use, prohibited use, failure to return the vehicle, false identity information, or other material breach. Upon termination, TBIGS may seek peaceful recovery of the vehicle, towing, disablement if lawfully disclosed and safely executed, law enforcement assistance, and any other remedy allowed by contract or law.

Texas Law Note: A vehicle rental is not the same as every secured transaction, so broad “self-help repossession” language should be used carefully. The safer approach is to reserve lawful recovery rights without overstating Article 9 remedies.
18. Indemnification, Personal Property & Federal Lessor Protection

To the extent allowed by law, the Renter agrees to indemnify and hold TBIGS LLC, its owners, managers, and agents harmless from third-party claims, losses, costs, and liabilities arising from the Renter’s use, operation, parking, possession, or control of the vehicle, except to the extent caused by TBIGS’s own negligence or non-waivable legal duty. TBIGS is not responsible for personal property left in the vehicle.

Federal Law Note: 49 U.S.C. §30106, commonly called the Graves Amendment, generally protects rental and leasing companies from vicarious liability based solely on ownership of the vehicle, but it does not protect the owner from its own negligence or criminal wrongdoing.
19. Entire Agreement, Amendments & Order of Documents

This digital Agreement, together with the booking receipt, vehicle condition record, payment confirmation, and any separately signed addendum, constitutes the full agreement between the parties. Any amendment, waiver, extension, or special permission must be in writing or in an authenticated electronic record issued by TBIGS.

Texas Law Note: This clause works with Texas electronic-transactions law by identifying which records together form the binding agreement.
20. Electronic Signatures & Consent to Transact Electronically

The parties agree to conduct this transaction electronically. Electronic signatures, typed names, checkbox acknowledgments, captured signature fields, and electronically stored records may be used to form and prove this Agreement. The Renter consents to receive and sign rental records electronically.

Texas Law Note: Texas Business & Commerce Code Chapter 322 allows parties to agree to transact electronically, and an electronic signature or record may not be denied legal effect solely because it is electronic.
21. Governing Law, Venue & Severability

This Agreement is governed by the laws of the State of Texas unless federal law controls a specific issue. If any provision is held unenforceable, the remaining provisions remain in effect to the fullest extent allowed by law. Venue for disputes may be laid in the county permitted by applicable law and contract.

Texas Law Note: Governing-law and severability clauses are standard contract provisions that help preserve the remainder of the Agreement even if one provision is later challenged.
22. Acknowledgment of Key Terms

Before signing, the Renter acknowledges that the Renter has had the opportunity to read this Agreement, ask questions, and review the vehicle details, rental term, payment terms, mileage terms, travel limits, insurance requirements, accident duties, and return obligations.
